Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Osiris Infrastructure Inc. website at osirisinfrastructure.com (the "Site") and any services provided by Osiris Infrastructure Inc. ("Osiris," "we," "us," or "our"). By accessing the Site or entering into a service agreement with Osiris, you agree to these Terms. If you do not agree, do not use the Site or our services.

Important: These Terms contain a binding arbitration clause and a class action waiver. Please read Section 14 carefully before using this Site or engaging our services.

Definitions

"Services"
The revenue infrastructure products offered by Osiris, including website builds, search engine optimization (SEO) campaigns, CRM implementation, automation setup, and related consulting and support services.
"Client"
Any individual or business entity that enters into a Master Service Agreement (MSA) or other written agreement with Osiris for the delivery of Services.
"Visitor"
Any person who accesses the Site without entering into a service agreement.
"Infrastructure"
All websites, page blocks, HTML, CSS, schema markup, metadata, automation workflows, CRM configurations, and related digital assets built, deployed, and maintained by Osiris as part of delivering Services.
"Territory"
The geographic area defined by zip codes assigned exclusively to a Client for a specific vertical under a signed service agreement.
"Vertical"
A specialty automotive industry category (e.g., 4x4/off-road, diesel performance, race/performance, powersports) in which Osiris provides Services.
"MSA"
Master Service Agreement — the primary written contract between Osiris and a Client governing the delivery, pricing, and terms of Services.

Use of the Site

You may access and use the Site for lawful purposes related to evaluating or engaging our Services. You agree not to:

  • Copy, scrape, or reproduce Site content, design elements, or copy for commercial use without written permission
  • Use the Site in any manner that could damage, disable, or impair its performance
  • Attempt to gain unauthorized access to any portion of the Site or its underlying systems
  • Use automated tools to collect data from the Site without express written consent
  • Submit false or misleading information through any contact form or inquiry on the Site
  • Use the Site to transmit spam, malware, or any unlawful content

We reserve the right to suspend or terminate access to the Site for any user who violates these Terms, without notice.

Our Services

Osiris provides revenue infrastructure services exclusively to specialty automotive shops. Our core service lines are:

SEO + Website

Search engine optimization is sold exclusively bundled with a new website build on Osiris-managed infrastructure. Osiris does not provide SEO services on third-party websites, existing client-owned websites, or any digital property not built and hosted by Osiris. The scope, page count, and deliverables for each tier are defined in the applicable MSA.

CRM Infrastructure

Customer relationship management setup, automation buildout, and ongoing configuration services delivered through GoHighLevel. CRM services are available as a standalone product or in combination with SEO + Website services.

Consulting & Strategy

Discovery calls, market analysis, territory mapping, and related advisory services conducted as part of the client onboarding and retention process.

Service availability, pricing, and scope are determined at the time of engagement and documented in writing in the MSA. No service obligation exists until an MSA is fully executed by both parties.

Service Agreements

Minimum Commitment

All SEO service engagements require a minimum 12-month commitment from the date of campaign launch. This commitment period is firm and non-negotiable. Search engine optimization requires a sustained period of consistent effort to generate measurable results; shorter engagements do not produce reliable outcomes and are not offered.

No Auto-Renewal

Osiris service agreements do not auto-renew. At the end of any commitment period, the engagement continues on a month-to-month basis unless either party provides written notice of termination. No renewal is assumed or implied without explicit written confirmation from both parties.

Scope Changes

Any changes to service scope — including additional pages, new verticals, expanded territories, or service tier upgrades — must be agreed to in writing via a signed amendment or addendum to the MSA.

Commencement

The service clock begins at campaign launch, defined as the date the Osiris-built website is live and OTTO (AI SEO Pixel) is deployed. Delays caused by the Client — including failure to provide required materials, login credentials, or approvals — may push the launch date and do not affect the contractual commitment period.

Payment Terms

Invoicing

Monthly retainer fees are invoiced on the same day each month, beginning on the campaign launch date. One-time fees (where applicable) are invoiced upon MSA execution. Payment terms are net 7 days from invoice date unless otherwise specified in the MSA.

Late Payment

Invoices unpaid after 14 days from the due date may result in suspension of active campaign work, including SEO campaign updates, automation support, and CRM management. Osiris is not responsible for any degradation in search performance or lead flow resulting from suspended services due to non-payment.

Failed Payments

In the event of a failed automatic payment, Osiris will notify the Client and allow a 5-business-day cure period before suspension of services.

No Refunds

All fees paid to Osiris are non-refundable. This includes one-time fees, monthly retainers, and any partial-month charges. Services are rendered on an ongoing basis; work completed and in progress cannot be returned.

Infrastructure model note: Osiris does not charge an upfront website build fee under the competitive displacement pricing model. The infrastructure build cost is absorbed by Osiris in exchange for the commitment period. Early termination within the commitment period does not entitle the Client to a refund of any fees paid.

Territory Exclusivity

Anchor Client Exclusivity

SEO + Website clients are designated as "anchor clients" and receive exclusive territory rights within their defined geographic area for their specific vertical. Exclusivity means Osiris will not sign a second SEO anchor client in the same vertical within the same territory during the active engagement.

Territory Definition

Territory boundaries are defined by specific zip codes agreed upon and documented in the MSA. Zip codes — not radii or general geographic descriptions — are the binding unit of territory definition. Any territory boundary questions must be resolved in writing before MSA execution.

Exclusivity Conditions

Territory exclusivity is contingent on the Client remaining in good standing, including timely payment of all invoices. Exclusivity is suspended during any service suspension period caused by non-payment and terminates upon contract termination.

CRM-Only Clients

CRM-only clients do not receive territory exclusivity. Territory exclusivity is a feature of the SEO + Website anchor engagement only.

Post-Departure

Upon termination of an anchor engagement, the territory becomes available for a new anchor client at Osiris's discretion. No exclusivity rights carry over after the engagement ends.

Intellectual Property

Osiris IP

All content, design, copy, systems, methodologies, automation sequences, snapshot configurations, and processes developed by Osiris — whether delivered to a Client or used internally — are the exclusive intellectual property of Osiris Infrastructure Inc. This includes but is not limited to GHL snapshot builds, automation workflow logic, onboarding sequences, referral routing architectures, and all written content produced by Osiris for internal use.

Client-Provided Materials

Content provided by the Client for use in their website or campaigns — including logos, photography, testimonials, and shop-specific copy — remains the property of the Client. By providing such materials, the Client grants Osiris a non-exclusive license to use them for the purpose of delivering Services during the engagement.

Website Copy & Page Content

Osiris-authored page copy, schema markup, metadata, and SEO content produced for a Client's website is developed as work product under the service agreement. Upon full payment of all fees owed, the Client retains a right to use this copy. Osiris retains the right to use anonymized, non-identifying excerpts for portfolio and marketing purposes.

Site Content

All content on osirisinfrastructure.com — including text, design, images, and structure — is the property of Osiris Infrastructure Inc. and may not be reproduced, distributed, or used for commercial purposes without prior written consent.

Infrastructure Ownership

Osiris infrastructure is rented, not owned. The websites, hosting environments, SEO architecture, and digital systems Osiris builds and maintains are Osiris infrastructure deployed on behalf of the Client during the active engagement. The Client does not purchase or acquire ownership of this infrastructure unless a separate written ownership agreement is executed.

Upon Termination — Rental Model

Under standard service agreements, all Osiris infrastructure is retired upon termination of the engagement. There is no transfer of assets. The website and all associated digital infrastructure cease to be active upon departure. The Client is not entitled to receive files, code, or platform credentials under the standard rental arrangement.

Upon Termination — Purchased Website

Where the Client has purchased the website outright under a separate written agreement, a transfer fee of $1,000 applies upon departure. Upon receipt of this fee and satisfaction of all outstanding balances, Osiris will package and deliver all CSS, HTML page blocks, schema markup, title tags, meta descriptions, and media files in an organized archive within ten (10) business days. Osiris provides no warranty on third-party platform performance after transfer.

No warranty on transferred assets: Osiris builds infrastructure for Osiris-managed hosting environments. Transferred code may require modification to function correctly in a third-party environment. Osiris is not responsible for compatibility, performance, or support after a transfer is completed.

Client Obligations

To enable Osiris to deliver Services effectively, the Client agrees to:

  • Provide accurate business information, including services offered, service area, contact details, and any credentialing required for campaign accuracy
  • Respond to Osiris requests for approvals, materials, and feedback within a reasonable timeframe (typically 5 business days)
  • Maintain accurate information in any client-managed data sources (e.g., parts pricing spreadsheets used by AI voice agents)
  • Notify Osiris promptly of any changes to business operations, service offerings, location, or contact information that may affect campaign accuracy
  • Not engage a competing SEO or website service provider for the same vertical while an active Osiris SEO anchor agreement is in place
  • Keep all Osiris account credentials, automation logic, and system configurations confidential

Osiris is not responsible for performance degradation caused by Client failure to meet these obligations.

No Guarantee of Results

Osiris does not guarantee specific search rankings, traffic volumes, lead counts, or revenue outcomes. Search engine algorithms are operated by third parties (Google, Bing, etc.) and are subject to change at any time without notice. While Osiris builds and manages campaigns with the objective of improving search visibility and driving qualified leads, no specific result can be guaranteed.

Osiris reports outcomes tied to business results — calls, booked appointments, and closed jobs — rather than vanity metrics. However, reporting on these outcomes is dependent on accurate tracking data and does not constitute a warranty of any particular performance level.

What we do guarantee: That the work will be done — the pages built, the schema deployed, the campaigns managed, and the CRM maintained — according to the scope and standards documented in the MSA. Execution is within our control. Search algorithm behavior is not.

Limitation of Liability

To the maximum extent permitted by applicable law, Osiris Infrastructure Inc. and its officers, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site or our Services, including but not limited to loss of revenue, loss of profits, loss of business, or loss of data.

In no event shall Osiris's total aggregate liability to any Client exceed the total amount of fees paid by that Client to Osiris in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Osiris Infrastructure Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site or our Services in violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Content or materials you provide to Osiris that infringe on any intellectual property, privacy, or other rights of a third party
  • False or inaccurate information you provide to Osiris in connection with your engagement

Term & Termination

Term

These Terms are effective from the date you first access the Site or execute an MSA and remain in effect until terminated.

Termination by Client

A Client may terminate an active service agreement at the end of any commitment period by providing written notice at least 30 days prior to the commitment period end date. Early termination within a minimum commitment period does not relieve the Client of any outstanding payment obligations for the remaining months of that commitment period.

Termination by Osiris

Osiris may terminate a service agreement immediately upon written notice if the Client:

  • Fails to cure a payment default within 14 days of notice
  • Materially breaches these Terms or the MSA and fails to cure the breach within 10 business days of written notice
  • Engages in conduct that Osiris determines, in its reasonable judgment, is harmful to the Osiris network, other clients, or the integrity of Osiris's infrastructure
  • Becomes insolvent, makes an assignment for the benefit of creditors, or files for bankruptcy protection

Effect of Termination

Upon termination, all active campaigns are wound down, territory exclusivity ends, and infrastructure is retired per Section 8. Sections covering intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

Dispute Resolution

Binding Arbitration & Class Action Waiver: Please read this section carefully. It affects your legal rights.

Informal Resolution First

Before initiating any formal dispute process, you agree to contact Osiris in writing and provide at least 30 days for us to attempt to resolve the dispute informally. Most issues can be resolved through direct communication, and we prefer to handle them that way.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our Services — including any question of the existence, validity, or termination of these Terms — shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Houston, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted solely on an individual basis. You waive any right to bring or participate in a class action, collective action, or representative proceeding. The arbitrator may not consolidate claims from multiple parties.

Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Osiris may also pursue collection of unpaid fees through available legal channels without first engaging the arbitration process.

Governing Law

These Terms and any disputes arising from them are governed by the laws of the State of Texas, without regard to its conflict of law provisions. To the extent any dispute is resolved in court rather than arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

Osiris Infrastructure Inc. is a Delaware corporation with its principal place of business in Houston, Texas.

Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page. Changes to Terms governing active client engagements will be communicated directly to affected Clients with at least 30 days' written notice.

Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. If you are an active Client and do not agree to a material change, you must notify Osiris in writing within the notice period.
